These Terms & Conditions (“Terms”) govern your access to and use of the website operated by Nirmithya Consulting Private Limited (“Nirmithya,” “the Company,” “we,” “us,” or “our”) and any enquiry, demo, or design consultation you request through it. By accessing or using this website or submitting an enquiry, you agree to be bound by these Terms. If you do not agree, please do not use this website.
These Terms apply to your use of the website and to pre-engagement interactions. The provision of our design services is separately governed by a written proposal and/or service agreement executed between you and Nirmithya (the “Service Agreement”). In the event of any conflict between these Terms and your signed Service Agreement, the Service Agreement shall prevail for that engagement.
1. About Us and Our Services
Nirmithya is a Bengaluru-based residential architecture practice specialising in the design of duplex family homes with integrated rental-income units for plot owners. Our design work is carried out by, or under the supervision of, an architect registered with the Council of Architecture under the Architects Act, 1972.
Our services consist of architectural design and documentation, and design-stage support, which may include:
- Floor plans for all floors and 2D elevation drawings;
- Photo-realistic 3D renders (all sides);
- Detailed working drawings, including structural, electrical, plumbing, and drainage drawings;
- A Bill of Quantities (BOQ);
- Site visits to check that construction is being carried out in accordance with the approved design, and soil-testing advisory; and
- Guidance to the client during material selection.
What we do not do. Nirmithya does not undertake construction, does not act as a building contractor, and does not supply construction materials. We advise on material selection, but procurement of all materials is the responsibility of the client and/or the client’s contractor. We do not earn, accept, or receive any commission, referral fee, or other compensation from contractors, vendors, or suppliers.
2. Eligibility
You must be at least 18 years of age and legally capable of entering into a binding contract to use this website and engage our services. By using the website you confirm that you meet these requirements and that the information you provide is true and accurate.
3. Use of the Website
You agree to use the website only for lawful purposes. You may not:
- Copy, reproduce, republish, distribute, or exploit any content of the website except for your own personal, non-commercial reference;
- Use the website in any way that infringes the rights of others or restricts their use of it;
- Upload or transmit any unlawful, harmful, defamatory, obscene, or offensive content, or any virus or malicious code; or
- Attempt to gain unauthorised access to, interfere with, or disrupt the website or its security features.
4. Intellectual Property
Website content. All content on this website - including text, graphics, logos, images, 3D renders, drawings, and the “Nirmithya” name and marks - is the property of Nirmithya and is protected under applicable Indian intellectual property laws. You may not use it without our prior written permission.
Design drawings and documents. In accordance with standard architectural practice, Nirmithya retains copyright and all intellectual property rights in all designs, drawings, renders, plans, and the BOQ that we prepare. Upon full payment of the applicable fees, the client is granted a limited, non-exclusive, non-transferable licence to use those drawings solely for the purpose of constructing the specific home for which they were prepared, on the client’s own plot. The drawings may not be reused, resold, copied for other projects, or transferred to any third party without our prior written consent.
5. Enquiries, Demos, and Engagement
Submitting an enquiry or booking a demo or design consultation does not by itself create a binding engagement. A binding engagement arises only when you and Nirmithya execute a written proposal and/or Service Agreement and you make the payment specified in it. The scope of services, fees, payment schedule, timelines, revisions, and other commercial terms for your project will be set out in that written proposal and/or Service Agreement.
6. Fees and Payment
The fees for our services and the payment schedule are set out in your written proposal and/or Service Agreement. All applicable taxes, including GST, will be charged as per law. Refunds, where applicable, are governed by our Refund & Design Guarantee Policy and by your Service Agreement.
7. Client Responsibilities
You are responsible for providing accurate plot details, documents, and requirements, and for obtaining all statutory approvals, sanctions, and permissions required for your project (including municipal and BBMP approvals) unless expressly agreed otherwise in writing. You are responsible for appointing and managing your own contractor and for procuring all materials. Nirmithya’s design and advisory role does not transfer to us any responsibility for the acts, omissions, quality of work, or timelines of your contractor or suppliers.
8. No Guarantee of Rental Income or Outcomes
Any rental-income figures, ranges, or illustrations shown on our website or in our materials are design-stage illustrations only and depend on factors outside our control, including plot size and location, market conditions, build quality, and tenant demand. We design with rental potential in mind, but we do not promise, guarantee, or warrant any specific rental income, return, or financial outcome. Please also read our Disclaimer.
9. Disclaimer of Warranties
The website and its content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including as to accuracy, completeness, or fitness for a particular purpose. While we take care to keep information current and correct, we do not warrant that the website will be uninterrupted, error-free, or free of harmful components. Nothing on the website constitutes legal, financial, tax, or investment advice.
10. Limitation of Liability
To the maximum extent permitted by law, Nirmithya and its directors, employees, and representatives shall not be liable for any indirect, incidental, special, or consequential loss, or for loss of profit, revenue, data, goodwill, or anticipated savings, arising out of or in connection with your use of the website. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable Indian law. Any liability arising from a specific design engagement is governed and limited by the terms of your Service Agreement.
11. Indemnity
You agree to indemnify and hold harmless Nirmithya and its directors, employees, and representatives from any claim, loss, liability, or expense (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law, or your infringement of the rights of any third party.
12. Third-Party Links and Platforms
Our website may link to or rely on third-party websites and platforms (including advertising, analytics, video, and messaging services). We are not responsible for the content, policies, or practices of those third parties. This website is not part of, or endorsed by, Facebook/Meta in any way; “Facebook” and “Meta” are trademarks of Meta Platforms, Inc.
13. Communications and Consent
By submitting your details through our website or booking forms, you consent to be contacted by Nirmithya as described in our Privacy Policy, including the authorisation displayed on our demo / design consultation booking form.
You may withdraw your consent at any time by writing to [email protected].
14. Termination
We may suspend or terminate your access to the website at any time, without notice, if we reasonably believe you have breached these Terms. Termination of website access does not affect the rights and obligations under any Service Agreement, which is governed by its own terms.
15. Changes to These Terms
We may update these Terms from time to time by posting the revised version on this page with a new “Last Updated” date. Your continued use of the website after changes are posted constitutes acceptance of the updated Terms.
16. Governing Law, Jurisdiction, and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably. Failing amicable resolution, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, with the seat and venue of arbitration at Bengaluru, Karnataka, and proceedings conducted in English. Subject to the arbitration provision, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction.
